Comecero Buyer Terms of Sale

1. Introduction

These Terms of Sale ("Terms") govern all purchases made by you ("Buyer," "you," or "Customer") from Comecero, operated by Grafite LLC, a Washington limited liability company ("Comecero," "we," "our," or "us"). Comecero acts as the Merchant of Record (MoR) for all transactions processed through our platform. By completing a purchase, you acknowledge and agree that your order is placed with and fulfilled by Comecero, not by the individual vendor whose product or service you are purchasing.

2. Merchant of Record

Comecero (Grafite LLC) is the official seller for all transactions on the Comecero platform. Comecero will appear as the seller or merchant on your billing statement. Comecero is responsible for collecting and remitting applicable taxes, handling refunds, and managing chargebacks or payment disputes. The vendor (the "Supplier") provides the content, software, or service but is not the legal seller of record.

3. Orders and Acceptance

Your order constitutes an offer to purchase the products or services listed in your order. All orders are subject to acceptance by Comecero. We may, at our sole discretion, refuse or cancel any order for reasons including but not limited to product availability, pricing errors, suspected fraud, or violations of these Terms.

4. Pricing and Payment

Prices are listed in the applicable currency at the time of checkout. Payment is due at the time of purchase and will be processed by Comecero. You authorize Comecero (Grafite LLC) or its payment partners (including Stripe, Visa, MasterCard, American Express, and others) to charge your selected payment method for the total amount of the order, including applicable taxes and fees. By clicking the button labeled 'Purchase,' 'Buy,' 'Complete Order,' or any equivalent, you acknowledge that you have read, understood, and agree to be bound by these Terms.

5. Taxes

Comecero is responsible for determining, collecting, and remitting all applicable sales, VAT, GST, or other transaction-based taxes in accordance with applicable laws and regulations.

6. Delivery and Access

Delivery of digital products or services is managed by the Supplier. Comecero facilitates the transaction but does not guarantee the content, quality, or performance of the Supplier's product. Access details, licenses, or download links will typically be provided immediately following successful payment authorization.

7. Refunds and Cancellations

Refund eligibility varies by product and is determined by the Supplier's policy unless otherwise required by law. All refund requests should be submitted through Comecero's customer support at order-support@comecero.com. Comecero, as the Merchant of Record, processes all refunds on behalf of the Supplier. Once approved, refunds are credited to the original payment method.

8. Chargebacks and Disputes

As the Merchant of Record, Comecero manages all chargeback and payment disputes directly with card networks (e.g., Visa, MasterCard). If you have any issue with your purchase, please contact Comecero before initiating a chargeback so we can resolve the matter promptly.

9. Buyer Responsibilities and Prohibited Use

By purchasing through Comecero, you agree to provide accurate billing and contact information, comply with all applicable laws, and refrain from fraudulent or abusive behavior. You may not misuse payment methods, use false identities, or attempt to circumvent Comecero's security or refund policies.

10. Product Support

Product support is provided by the Supplier unless otherwise stated. Contact details for the Supplier may be included in your order confirmation or product documentation.

11. Compliance and Fraud Prevention

Comecero may use fraud-prevention and verification systems and reserves the right to require additional validation before processing an order. Comecero complies with all applicable laws and payment-security standards, including PCI DSS, to safeguard customer payment information.

12. Limitation of Liability

To the maximum extent permitted by law, Comecero (Grafite LLC) shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your purchase or use of any product or service. Comecero's total liability shall not exceed the amount paid for the specific product or service giving rise to the claim.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in King County, Washington, and you consent to the jurisdiction of such courts.

15. Data Protection and Privacy

Comecero respects your privacy and protects your personal data in accordance with applicable privacy and data-protection laws, including GDPR, CCPA, and other relevant legislation. Comecero (Grafite LLC) is the data controller for payment and transaction-related information collected during purchases. We implement PCI DSS-compliant safeguards and share limited data only with service providers as necessary to process your order. Comecero Vendor Terms of Service

Comecero may modify this agreement at any time, and such modifications shall be effective immediately upon posting of the modified agreement on the site.

All content and material contained on this site are copyright and protected by law, including, but not limited to, United States and International Copyright Law.

No portion or element of this website or its content may be copied or retransmitted via any means. This website, its content and all related rights shall remain the exclusive property of Comecero or its licensors unless otherwise expressly agreed.

The use of collected data and privacy will be adhered to by Comecero as set forth in our privacy statement.

Under no circumstances, including, but not limited to, negligence, shall Comecero be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this site.

Comecero reserves the right to refuse service to business and / or individuals that do not meet its business policies, would cause Comecero to violate its legal obligations or other cases where providing service does not meet Comecero's business interests.

Products & Services Not Allowed by Comecero

Any product or service that is, contains or includes the following is not allowed to be processed using Comecero's service or technology:

  • activities that are illegal by law, statute, ordinance or regulation
  • adult content / services
  • gratuitous or violent material
  • promotes hate, violence, intolerance or bigotry
  • gambling, lotteries, raffles or games of chance
  • nutraceuticals
  • circumvents copyright
  • uses trademarks or copyrights of other companies without permission
  • malware & viruses
  • crypto-currencies, digital gift cards, e-cash or similar virtual currencies, stored value and e-wallets
  • money orders, traveler's checks, check cashing, and currency exchange
  • keystroke loggers
  • fake references or IDs
  • multi-level marketing, pyramid schemes or other similar distribution techniques
  • social media likes, follows, comments or engagements
  • "stalkerware" or similar products / services that monitor individuals without consent
  • marketing that uses deceptive practices
  • weapons, ammunition and other related products
  • "get rich quick" schemes, business coaching, work-from-home opportunities and similar services
  • drugs, controlled substances, related paraphernalia and products that are age restricted by law such as cigarettes, e-cigarettes, and alcohol
  • credit repair and monitoring services, debt settlement or other similar financial products and services

This is not an exhaustive list of prohibited products/services and the final determination of acceptability will be determined by Comecero.
